Dave has a broad range of knowledge and experience with a focus on technology and commercial contracts, business formation, strategic transactions, commercial disputes, and business bankruptcy and creditors’ rights. Prior to joining Essex Richards, Dave worked in various in-house positions for several years and specialized in negotiating and customizing enterprise-level master software licensing and services contracts involving software-as-a-service (SaaS), professional and managed services, hosting arrangements, reseller and other market channel agreements, NDA’s, and source code escrow agreements. Dave has helped clients with technology procurement from the RFP stage through documentation of definitive agreements. In addition, he has substantial knowledge and experience with respect to U.S. and E.U. data privacy laws, having assisted clients with drafting and negotiating privacy and information security related agreements to help ensure compliance with laws such as California’s Consumer Privacy Act and the EU’s General Data Protection Regulation (GDPR). Dave particularly enjoys advising start-ups and closely-held businesses on business entity formation, operating and shareholder agreements, trademark registration, employment agreements, lease agreements, commercial contracts and asset purchase agreements. Dave and his lovely wife have lived in Charlotte for over 24 years, raised a son and daughter who, now out of the house, have been replaced by two French bulldogs. Dave loves travel and soccer, particularly a certain English Premier League football club he has religiously followed for over 20 years (hint: YNWA).
